Ticketing Terms & Conditions

The hours for Guy’s Flavortown Tailgate at LINQ Parking Lot in Las Vegas, NV (“Event”) will be from 11:00am PT on February 11, 2024 to 4:00pm PT on February 11, 2024. In order for the purchaser and/or holder (hereinafter referred to as you “You” or “Your”) of a valid wristband or ticket (“Ticket”) to enter the Event, You must possess a valid Ticket that permits access to the Event and check in at marked locations during specified time periods.  Please allow ample time to check in.

ARTICLE 1: YOUR TICKET

  1. Please be advised, the purchase and/or use of a Ticket to, and/or entry into, the Event shall constitute Your unconditional acceptance to be bound by any and all of the terms and conditions contained within this agreement (this “Agreement”) between You and Medium Rare Live, LLC (the “Company”) to attend all or part of the Event. You acknowledge and understand that if You are attempting to enter the Event with a free Ticket, such Ticket does not guarantee entrance into the Event, and such person holding such Ticket will be admitted on a first come, first serve basis to the extent that Company allows such entrance. Such attendance limits shall be determined by Company is its sole discretion and may not reflect that the Event is at full capacity but may only reflect Company’s determination of the number of people to grant entry to the Event. Persons under thirteen (13) years of age who are accompanying an adult who has a valid free non-guaranteed Ticket do not need a Ticket to enter the Event and can enter the Event on the same basis as the adult with the non-guaranteed Ticket and subject to same restrictions. You acknowledge that a general admission Ticket shall only provide you entrance into the general admission areas of the Event and that to enter the VIP areas You must possess a VIP Ticket. Except in the case of the thirteen (13) year age limit set forth above for entrance with an adult possessing a free Ticket that does not guarantee entrance, all of the people attending the Event over the age of thirteen (13) are required to possess a Ticket to enter the Event.
  2. For safety reasons, Company reserves the right to, without any prior notice or compensation to You: postpone, cancel, interrupt or stop the Event; provisionally keep visitors on the Event site at the end of the Event; totally or partially vacate the Event site; and deny access to the Event site regardless of the possession of a valid entry Ticket.
  3. The Company reserves the right to change, modify, or alter any aspect of the Event (including, without limitation, the appearance of any performer or artist, and/or the order of performance of any performer or artist), at any time, for any reason whatsoever, without any prior notice or compensation to You. You understand that the speakers, artists, and/or lineup for the Event or any other aspect of the Event as aforesaid may be changed and that such occurrence shall not, under any circumstances, entitle You to any claim whatsoever, including, but not limited to, a refund for Your Ticket.
  4. You understand, acknowledge, and agree that the names of any speaker, artist, act or performer contained in any Event promotional material is intended for informational purposes only, and does not, in any way, represent the importance or headline status of any single speaker, artist, act or performer, or the duration of time they will participate at the Event, and is subject to change without prior notice.
  5. EXCEPT AS EXPLICITLY OTHERWISE PROVIDED HEREIN, YOU UNCONDITIONALLY UNDERSTAND AND ACKNOWLEDGE THAT ALL TICKET SALES ARE FINAL. THERE WILL BE NO TICKET REFUNDS AND/OR TICKET EXCHANGES. THE EVENT IS A RAIN OR SHINE EVENT. BY ACKNOWLEDGING AND AGREEING THAT THE TICKETS BEING PURCHASED HEREUNDER ARE ENTIRELY NON-REFUNDABLE, YOU, WITH THE INTENTION OF BEING FULLY BOUND BY THESE TERMS, AGREE NOT TO INITIATE A CHARGEBACK or undertake any similar action(s) that operates, in any way, to dispute, cancel or reverse any portion of a prior transaction and Your Ticket transaction(s) if such action is in contravention of either the terms, conditions or spirit of this Agreement or if the basis for such action relates to an Event being delayed, cancelled, rescheduled (whether in whole or in part) and/or for any reason, including reasons relating to a Force Majeure Event, governmental action, unforeseen events, inclement weather, production issues, or otherwise (“Chargeback(s)”). You acknowledge and agree that by entering into this Agreement, You are voluntarily and knowingly agreeing to give up certain of Your legal rights relating to Your entitlement to Chargebacks or to Chargeback protections. The foregoing shall apply even if Your Chargeback protection periods have not expired and/or even if You have other legal rights available to You respecting Chargebacks.
  6. If the Event is cancelled in whole, or in part, due to a Force Majeure Event (as defined below), You will not be entitled to a refund. Notwithstanding the foregoing, the Company may issue, at the Company’s sole and absolute discretion, a partial or full refund of Your Ticket, by accounting for, among other considerations, the extent and nature of the cancellation. A “Force Majeure Event” shall mean an act of God, act of terrorism, flood, tsunami, fire, earthquake, strike or other labor condition or dispute, disease, epidemic (including, but not limited to, the COVID-19 Pandemic), an order or injunction of any court or administrative body or any other act of public authority, severe weather threatening the safety of Event attendees or similar contingency or unexpected event, and any such occurrence beyond the reasonable control of Company. 
  7. You understand that in all instances, the maximum remedy You may receive for any cancellation of any part of the Event, if any, will be the face value of Your Ticket, excluding all fees and/or service charges paid by You in connection with the purchase of Your Ticket.
  8. To the extent COVID-19 testing is being offered by Company onsite and/or to the extent Company requires testing, You shall ensure that You are tested. If requested, You must provide proof of full COVID-19 vaccination (i.e., proof that You received Your full COVID-19 vaccination at least fourteen (14) days prior to the Event).  Should You refuse to provide proof of full COVID-19 vaccination, if requested, and/or test positive, if tested, for COVID-19, You acknowledge and agree that You shall be denied entry into the Event without reimbursement for your Ticket. You further acknowledge and agree that You shall take all other required and recommended precautions while at the Event to minimize the chance of being exposed to COVID-19.  You acknowledge that test results are not definitive and shall not be relied upon by You.
  9. You may be required to wear a face covering that covers both the nose and mouth indoors at all times, regardless of vaccination status, except when actively eating or drinking. Company reserves the right to evict You from the Event if You are not complying with the foregoing masking requirements, and You shall not be entitled to any refund of Your Ticket.
  10. By entering the Event, You assume any and all risk and/or danger, known and unknown, foreseeable and unforeseeable, resulting from, or incidental to, the Event, whether occurring prior to, during, or subsequent to, the Event, including, but not limited to, any death, personal injury, loss of property, or any other loss, damage or liability whatsoever. You understand that Your use of Your Ticket is contingent upon Your voluntary assumption of the risk and danger that may result from, or be incidental to, Your presence at the Event, whether occurring prior to, during or after the Event, including, but not limited to, any actions or omissions of the Company Parties (as the term is defined below).
  11. The novel coronavirus, COVID-19, has been declared a worldwide pandemic by the World Health Organization. COVID-19 is extremely contagious and is believed to spread mainly by person-to person contact. By entering the Event, You (a) acknowledge the contagious nature of COVID-19 and knowingly and voluntarily assume the risk that You may exposed to or infected by COVID-19 by attending the Event and that such exposure or infection may result in personal injury, illness, permanent disability, and/or death to You or any other party, (b) voluntarily agree to assume all of the foregoing risks and accept sole responsibility for any injury, illness, damage, loss, claim, liability, actions, causes of action, suits, sums of money, costs or expenses, of any kind, including but not limited to attorney’s fees and costs (“Claims”), that You or any party may experience or incur, and (c) hereby release, covenant not to sue, discharge, and hold harmless the Company Parties, and any Event vendor(s), from any and all Claims of any kind arising out of or relating thereto.
  12. You acknowledge and understand that the Ticket is a revocable license to attend the Event for which it was issued, which is subject to revocation and denial of admission without compensation for any reason, including, but not limited to, Your attempted or actual violation of any of the rules set forth herein, policy or regulations, and for any other action taken by You in violation of any local, state or federal law, or that may endanger others.
  13. You acknowledge and understand that free ticket tier does not guarantee entrance into the Event, which is on a first come, first serve basis.

ARTICLE 2: TICKET AND PROOF OF AGE REQUIRED FOR ALCOHOL SERVICE

  1. In order to enter into the Event, You must have Your own valid Ticket. One Ticket is required per attendee and will only be valid on the day(s) of the Event and area(s) of the Event as indicated on the Ticket.
  2. Your Ticket is not redeemable for cash. There will be no replacements for Tickets that are lost, stolen, destroyed or damaged and You unconditionally accept the risk of damage to, loss of and/or theft of Your Ticket.
  3. To ensure that Your Ticket is valid, purchase Your Tickets from Tixr, Inc. (“TIXR”). Tickets from unauthorized sales channels (e.g., scalpers) may be forged. In no event will forged tickets be honored or eligible for a refund.

  6. You must submit Your Ticket for validation upon entry into the Event.
  7. Entry into the Event is limited to persons that meet the minimum age requirements on or before the day of the Event. To consume alcohol at the Event, You must be at least twenty one (21) years of age or older. The Event is intended for mature audiences only. To enter the Event, You must have one of the forms of approved identification listed below that demonstrate proof of age to enter the Event and/or to consume, be served, purchase or possess alcohol. No exceptions will be made, even if You are accompanied by an adult or a person with valid identification.    In addition, during the time You are present at the Event, or are being served, consuming, purchasing or possessing alcohol, You must be able to provide valid identification if requested by a member of security or crew. If You are not able to show a form of valid identification listed below, You may be promptly ejected from the Event and if ejected from the Event, you may be ejected without the opportunity to return, and You shall not receive a refund of Your Ticket or any other refund, nor will the Company be liable for any other damages, including, but not limited to incidental or consequential damages.

  1. The following forms of identification are UNACCEPTABLE:

    •     License/Identification Card issued in countries other than the U.S. or Canada
    •     Birth Certificate
    •     Social Security Card
    •     Federal Immigration Card
    •     Voter Registration Card
    •     Copies of any acceptable forms of identification.
  1. “Open Bar” service included in VIP All-Inclusive tier packages shall include wine, beer, and spirit selections in most commonly accepted general categories of spirits (e.g., vodka, rum, tequila) but shall be limited to specific products from designated brands as selected and determined by Company in its sole discretion. Cocktails available in the “Open Bar” service shall be limited to the specific cocktails as featured on the event menu, and shall not include non-featured or off-menu cocktails. Customers shall be limited to ordering a maximum of two (2) drinks per person at a bar location at any specific time. “Open Bar” service only includes service at designated bar locations and any Table Service orders shall not be included in the “Open Bar” service, and shall be subject to additional charges to the customer at the stated menu prices. Gratuities not included.
  2. “Taste of Flavortown” tier packages shall include ten (10) “bites” of food options from on-site Guy Concepts, portion quantities and specific products served as selected and determined by Company in its sole discretion.
  3. VIP All-Inclusive tier packages shall include food options from on-site VIP Guy Concepts, portion quantities and specific products served as selected and determined by Company in its sole discretion and subject to availability.

ARTICLE 3: SECURITY CHECK

  1. Access to the Event site is PROHIBITED and refused to, but not limited to, people who:
    • Are under the influence of illegal drugs or any other illegal substances.
    • Are suffering from alcohol or other intoxication which, in Event staff’s sole discretion, has caused You to be in an impaired state.
    • Have been previously banned from festivals and/or other events by the organizer, the Company, the administration or legal authorities.
    • Are demonstrating an intent to disturb the peace or to provoke someone else to do so.
    • Engage in fighting or disruptive behavior.
    • Use foul language.
    • Wear clothing with obscene or indecent language.
    • Resist the direction of and/or a search by the Event security guards and security services.
    • Refuse to declare and forfeit objects that are prohibited, as set forth herein.
    • Distribute flyers or posters on or near the Event site. If You would like to promote one of Your events, then please visit the official Company website for more information.
    • Act in violation of the provisions of one or more articles of these regulations or in the spirit thereof.
  1. Please note all ticket holders will be searched upon entering the Event site. Security guards will inspect all objects brought onto the Event site including, but not limited to, clothing, bags, backpacks, pocketbooks, and other personal items and effects in order to detect objects that may disrupt the course of the Event, jeopardize the safety of others, or disturb the peace. Security guards may search any persons and property on the Event site at any time, including, but not limited to, storage lockers, and confiscate any prohibited items, in their sole discretion. Given the volume of attendees, all confiscated items or any items will not be held, checked or returned.  For that reason, please read Article 4 carefully.

  1. If You bring any of the items on the above prohibited items list into the Event, such items will be confiscated and discarded and You will be subject to removal from the Event based on the sole discretion of Company. Under no circumstances will Company hold any prohibited items for You.
  1. ALL PERSONS AND PROPERTY ARE SUBJECT TO SEARCH AND MAY BE REQUIRED TO TAKE OFF YOUR SHOES DURING SEARCH. COMPANY HAS ZERO TOLERANCE FOR ILLEGAL ACTIVITIES. THE USE OF ILLEGAL DRUGS AND UNDERAGE DRINKING IS NOT PERMITTED. ANYONE FOUND WITH ILLEGAL DRUGS AND/OR UNDERAGE DRINKING WILL BE SUBJECT TO REMOVAL FROM THE EVENT AND WILL NOT BE ALLOWED BACK IN.

ARTICLE 5: CONDUCT AT THE EVENT

  1. At the Event, it is forbidden to:
    • Try to access or be in sections restricted to certain ticketholders unless in accordance with Your Ticket or credentials, such as production rooms, VIP zones, press rooms, offices, backstage and working areas.
    • Climb constructions, fences, closures, lighting columns, tables, benches or any other infrastructure of the Event site or climb trees if Event is outdoors.
    • Obstruct entrances, exits and evacuation routes and/or to linger at these locations any longer than strictly necessary for entering or exiting the Event site.
    • Wear a disguise or obstruct Your face to avoid being recognized.
    • Display or make texts, symbols, images, gestures, wear clothing or articles of dress which, in the sole discretion of Event staff or security personnel, contain and/or display language and/or images which are obscene, racist, xenophobic, provocative, or discriminatory.
    • Be under the influence of illegal drugs or any other illegal substances.
    • Be suffering from alcohol or other intoxication that, in Events staff’s sole discretion, has caused You to be in a impaired state.
    • Disturb the peace, demonstrate an intent to disturb the peace or provoke someone else to do so, or compromise the safety of the general public.
    • Sell drinks, food, or any other product without the express consent of the Company.
    • Throw or shoot any object or liquid, or throw or shoot any other product in loose or gaseous form.
    • Urinate in public or anywhere except marked Event restrooms.
    • Exposing oneself.
    • Re-enter the Event after being removed or banned from the Event, even if You are in possession of a new Ticket (such Ticket will not be refunded).
    • Deface, mark, damage, vandalize, tear down or otherwise destroy, in whole or in part, any of the decorations or any parts or premises of the Event site.
    • Litter or fail to maintain the cleanliness of the Event site.
    • Resist the direction of, and/or search by, security personnel.
    • Refuse to declare and/or forfeit objects that are considered to be dangerous or off-limits by the Event security personnel – security personnel are under no obligation to return such forfeited items.
    • Act in violation of the provisions of one or more articles of these regulations or the spirit thereof.
  1. You must heed the directions of Event organizers and security personnel at all times while on the Event site. If You fail to comply with such directions, You will be removed from the Event site, and, if necessary, Event staff may call on the police for assistance. Without limiting the foregoing, if the Company requires You to and You are not complying with the requirements of wearing a face covering, Company may remove You from the Event site, and You shall not be entitled to a refund of Your Ticket.
  1. Company reserves the right to, without any prior notice or compensation, to deny entry, at its discretion, to any person who is not properly dressed.

ARTICLE 6: RE-ENTRY

  1. You may not exit and re-enter the Event. You will have to purchase a new Ticket to re-enter the Event.
  2. If You are removed from the Event, Your ticket shall not be refunded and You will be denied re-entry, even if You are in possession of a new Ticket. If You have a new Ticket, Event staff may seize that Ticket and You shall not receive a refund.

ARTICLE 7: UNAUTHORIZED SALE OR USE OF TICKET

  1. Anyone caught forging entry tickets or any other special admission tickets in order to access or sell such tickets to the Event will be prosecuted without exception. Counterfeit tickets will not be honored or refunded by the Company and Your purchase of such ticket(s) is not binding on the Company whatsoever.
  2. Anyone caught tampering with or sharing their Ticket will be immediately ejected and banned from the Event.
  3. Tickets may not be resold without prior explicit permission from the Company. Tickets which appear to have been resold without permission from the Company will not be honored or subject to a refund.
  4. The resale, attempted resale, or purchase of Your Ticket at a price higher than the official purchase price from the authorized ticket agent TIXR, is grounds for seizure and cancellation of Your Ticket without compensation. The only valid tickets are those purchased and/or redeemed through TIXR or other Company-authorized sale channels listed on the official Company website.
  5. Tickets may not be used in association with any giveaway, sweepstakes, contest or similar activities, including, but not limited to, as a prize or incentive, without the Company’s prior written consent. Any Ticket so used will automatically become void at the Company’s sole discretion with no refund to You and/or the ticketholder.

ARTICLE 8: RECORDINGS

  1. By attending the Event, You understand, agree and acknowledge that (i) You may be photographed and filmed, and (ii) You hereby provide the Company with Your absolute, express consent to be photographed and filmed. You further understand and agree that these images and/or recordings can be registered, stored, transmitted, broadcast/streamed, rebroadcast, distributed, and sold for archival, promotional, and/or commercial purposes, in any manner, and in any media, now known or hereafter discovered or conceived, without any compensation to You. Your name, image and/or Your likeness may be captured as part of and/or used in connection with any broadcast/stream, audio, visual, or audio-visual recording, photograph, or other reproduction or other publication of the Event (the “Footage”) and may also be used by or on behalf of the Company or any of the Company’s parent entities, subsidiaries, affiliates, partners, sponsors, officers, shareholders, successors, licenses or assigns for any purpose, including, but not limited to, archival, promotional, and commercial purposes, without any compensation to You.  You waive all other rights in and to the Footage, including, but not limited to, all claims of so-called moral rights.  This Footage may also be used as a means to identify and facilitate the prosecution of illegal or impermissible conduct.
  2. At the Event, there will be camera surveillance for the purpose of ensuring the safety and proper operation of the Event. The Footage may be registered or stored by the Company or governmental authorities for the purpose of ensuring the security and safety of Event attendees and the enforcement of and compliance with the safety regulations on the Event site.
  3. Any recordings made by ticketholders on or near the Event site may not be used for commercial or public purposes, unless consented to by the Company (including, without limitation, having ads run on or beside such videos on YouTube and other video sharing websites). Non-professional grade cameras are allowed at the Event site.

ARTICLE 9: MERCHANDISE

  1. Official T-shirts and other Event souvenirs are only on sale within the Event site.
  2. Unless you have received written permission from Company, You may not sell any items at the Event. Unauthorized sale of goods at the Event may result in your removal from the Event.

ARTICLE 10: PARKING

  1. The Company disclaims all responsibility from losses or damages to vehicles parked at or near the Event.
  2. The Company is not responsible for losses or damage to any vehicle towed from the Event site.

ARTICLE 11: REFUSE

  1. You must maintain the cleanliness of the Event site and dispose of refuse properly. The collecting points for garbage and recycling on the Event site will be clearly indicated.
  2. The bathroom facilities at the Event are free of charge. It is forbidden to use any other location as a bathroom facility.

ARTICLE 12: ZERO TOLERANCE DRUGS POLICY

  1. The Company has a zero tolerance policy regarding illegal drugs. It is forbidden on the Event site to: (i) use, distribute, sell and/or to be in possession of illegal drugs; and (ii) distribute, sell or improperly use prescription or over-the-counter drugs. You understand and agree that Your use of the Ticket is contingent upon Your unconditional and voluntary acceptance to be searched for the presence of drugs, weapons, objects that may disrupt the peace or jeopardize the safety of others, and/or other prohibited items prior to Your admission to the Event site, and/or at any time thereafter.  If any of these items are found, the License for admission shall be immediately revoked, such items will be seized by security personnel and forfeited by You, or You will be immediately removed from the Event.  Notwithstanding the foregoing, You are permitted to bring into the Event prescription medication if You have a valid prescription and such prescription drugs are in the original container with the prescription details from the pharmacy, with Your name clearly listed on the prescription, provided that you may only bring into the Event the quantity required for that day for Your particular prescription, as detailed thereon. You will only be allowed to carry the dosage of medication required for the duration of the Event.
  2. If You are in violation of this rule, You will be immediately ejected from the Event site. The Event staff will closely monitor any potential illegal or prohibited drug activity, relying in part on security cameras placed throughout the Event site.
  3. By entering the Event site, You consent to be searched by Event staff. If You refuse to submit to a search by Event staff, You will be denied entry to, or ejected from, the Event site.

ARTICLE 14: EVENT SAFETY

  1. Due to weather or other conditions, the floors and/or Event grounds may in whole, or in part, slippery. You hereby assume this risk and assume the responsibility to exercise caution at all times at the Event.

ARTICLE 15: MEDICAL CARE

  1. You hereby consent to medical care and transportation in order to obtain treatment in the event of injury as Event staff, security, police or medical professionals may deem appropriate in their reasonable discretion. You understand this waiver extends to any liability that arises out of, or is in any way connected with, the medical treatment and transportation provided in the event of an emergency and/or injury.
  2. You hereby agree to release and hold harmless the Company Parties (as defined herein) from any liability arising out of or in connection with the actions or omissions of the Company Parties related to Your medical care.
  3. You recognize and acknowledge that there are hazards and risks of physical injury or illness and that not all such risks can be fully eliminated. By entering the Event site, You voluntarily agree to assume the full risk of death, bodily injury or property damage, regardless of severity, that may sustain as a result of attendance at the Event or while on the premises, except to the extent caused by the gross negligence or willful misconduct of the Company Parties.

ARTICLE 16: INDEMNIFICATION

  1. You hereby indemnify and hold harmless Medium Rare Live, LLC, Knuckle Sandwich, LLC, Guy Fieri, Caesars Entertainment, Inc, Vegas Development Land Owner, LLC, and each of their parents, affiliates, and subsidiary companies, including each of their respective representatives, officers, directors, owners, members, trustees, agents, employees, successors, licenses and assigns; TIXR, and any other designated ticketing agent; Event sponsors/promoters, and the performing artists, including, but not limited to, their respective management, their agents, their staff and their designees (collectively, the “Company Parties”) from any loss, liability, damage or cost in any way arising out of, or related to, Your actions and omissions at, around, or while traveling to and from, the Event.
  2. You hereby waive, discharge, hold harmless and covenant not to sue the Company Parties from any and all liability arising out of, or in connection with, the Event, for any claims, causes of action, obligations, lawsuits, charges, complaints, controversies, damages, costs or experiences of whatsoever kind, nature, or description, whether direct or indirect, foreseen or unforeseen, in law or in equity, in contract or in tort, or otherwise, whether known or unknown, arising out of, or related to, the Event, Your attendance at the Event, or Your travel to and from the Event, except to the extent caused by the gross negligence or willful misconduct of the Company Parties.
  3. IN NO EVENT WILL THE COMPANY PARTIES OR THEIR SUPPLIERS, VENDORS, ADVERTISERS AND SPONSORS, BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, DIRECT, INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, REVENUES OR BUSINESS OPPORTUNITIES, OR OTHER DAMAGES OF ANY TYPE, AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, ARISING OUT OF, OR IN CONNECTION WITH, THE EVENT OR ANY PRODUCT OR SERVICE PURCHASED AT THE EVENT, EVEN IF THE COMPANY PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED UPON ANY CONTRACT, TORT, OR OTHER LEGAL OR EQUITABLE THEORY. WITHOUT LIMITING THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE COMPANY PARTIES WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR (a) ANY FAILURE OF ANOTHER ATTENDEE OR PARTICIPANT OF THE EVENT TO CONFORM TO THESE RULES, (b) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, WHETHER ARISING IN CONTRACT OR IN TORT, RESULTING FROM YOUR ATTENDANCE AT THE EVENT, (c) ANY ERRORS, MISTAKES, INACCURACIES OR OMISSIONS IN ANY CONTENT, OR (d) ANY LOST, STOLEN OR DAMAGED TICKETS, LOST OR STOLEN PROPERTY, OR FAILURE OF EVENT STAFF OR SECURITY TO HONOR YOUR TICKET. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE EVENT IS TO LEAVE THE EVENT. THE LIMITATIONS IN THIS ARTICLE 16 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS ITS ESSENTIAL PURPOSE. THE ALLOCATION OF RISK BETWEEN US IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES, SO THESE MAY NOT APPLY TO YOU. IN SUCH CASES, THE COMPANY PARTIES’ LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE BY YOU.

ARTICLE 17: MISCELLANEOUS PROVISIONS

  1. Taxes, which are added to the face value of Your Ticket on checkout, refer to assessments, sales and use taxes as assessed by governmental authorities, including, but not limited to, 9% LET Tax. 
  1. Additional Fees and Ancillary Services. Additional Fees refer to costs that are also added to the face value of Your Ticket on checkout and they relate to and potentially include but are not limited to delivery charges, merchant processing costs, fulfillment fees, customer service support and program administration fees, layaway fees (if and to the extent appliable), surcharges and facility fees paid to third party venue owners and operators, and fees paid to third party ticketing processors (“Additional Fees”). You acknowledge and agree that all services that relate to the Additional Fees are critical to Your Ticket offering and sale process (collectively the “Ancillary Services”) and that such Ancillary Services have independent, distinct and essential value to You. You further acknowledge and agree that the incorporation of such Ancillary Services shall result in a higher total price for Your Ticket for the goods and services being offered to You. You acknowledge that the cost of incorporating and offering such Ancillary Services may increase the overall price of Your Ticket. You acknowledge and consent that such increase to Your Ticket price is reasonable.
  1. Surcharges and Facility Fees. Company may be required to collect and remit to certain governmental authorities, surcharges and facility fees assessed pursuant to certain statutes and ordinances. In anticipation of potential surcharge and facility fee increases that are expected to take effect during an already in progress sale cycle, Company may forecast and collect surcharges that exceed the amount currently set forth in applicable ordinances in anticipation of paying such excess surcharge over to the proper governmental authorities. If the subject ordinance, however, is not amended to increase the rate of the surcharge during an already in progress sale cycle, Company reserves the right to elect to either retain the excess surcharge collected or to instead pay over the excess to the proper governmental authorities (even though Company may not be required by law to do so) but in no event shall the excess surcharge be refunded or returned to You. However, if Your Ticket is sold but not used to gain entry into the Event, Company reserves the right to elect to either retain the amount of the surcharge Company collects in connection with the sale of Your Ticket or to instead elect to pay the surcharge for such ticket to the proper governmental authorities but in no event shall collected surcharges or any portion thereof be refunded or returned to You.
  1. Your Assent. By proceeding to purchase Your Ticket pursuant to the foregoing terms and conditions, You are expressly agreeing to waive any and all potential rights, claims or entitlements You may have respecting surcharge fees.
  1. No Refund of Mandatory Fees. In the event that Company elects in its sole discretion, subject to the terms and limitations set forth in this Agreement, to refund You, You shall only be entitled to recover the face value of Your Ticket, if and to the extent applicable. SERVICE FEES SHALL NOT BE REFUNDABLE. You agree to waive, release, forever discharge and covenants not to sue any of the Company Parties to recover Additional Fees for any reason, including reasons relating to postponements, cancellations, delays, refunds and/or disputes between or among the parties.
  1. Economic Interests. You hereby acknowledge that Company has an economic interest in and to receipts generated from the face value of Your Ticket. Company may, either directly or indirectly, also have an economic interest in one or more components of the Additional Fees being charged to You through related party business transactions and affiliations. Company retains no economic interest in and to Taxes collected from You.
  1. EVENT FORMAT; “AS-IS”. COMPANY GRANTS THIS LICENSE TO BEARER TO ENTER THE VENUE ON AN “AS IS” AND ON AN “AS AVAILABLE” BASIS. COMPANY OFFERS NO WARRANTIES OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO THE AVAILABILITY OF TICKETS, THE PURCHASE OF TICKETS, THE EVENT, THE VENUE, OR THE ARTISTS. COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OR GUARANTEES RESPECTING THE AVAILABILITY OF POTENTIAL SEATING, SITE CONFIGURATIONS, FOOD, BEVERAGE AND/OR MERCHANDISE CHOICES OR AVAILABITY, VIEWING CAPACITY, FORMAT, SITE CONFIGURATION, PRODUCTION QUALITY AND/OR OVERALL PRODUCTION EXPERIENCE. IF YOU DO NOT AGREE WITH OR DO NOT INTEND TO BE BOUND BY THESE TERMS, DO NOT PURCHASE A TICKET, DO NOT REGISTER FOR OR UTILIZE COMPANY’S SERVICES AND OR DO NOT ENTER THE VENUE OR ATTEND THE EVENT.
  1. In no event shall the Company Parties be liable for any claim unless written notice is given within six (6) months from the date of the loss. No suit for any cause may be maintained against the Company Parties unless it is commenced within one (1) year after the Event.
  1. YOU HEREBY ACKNOWLEDGE AND AGREE THAT ANY DISPUTE IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES, AND THEREFORE, YOU KNOWINGLY, VOLUNTARILY, INTENTIONALLY, IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE OR CONFLICT IN CONNECTION WITH THIS AGREEMENT.
  1. These terms shall be governed by and construed under the laws of the State of New York, without regard to conflicts of law. Any controversy or claim arising out of or relating to these terms shall be brought only in the state courts empowered to enforce this Agreement located in New York County, or the federal courts located in New York County, as applicable, unless otherwise specified.  The parties hereto specifically consent to personal jurisdiction of said courts, and hereby waive any objection thereto on the basis of personal jurisdiction or venue. Each of the parties also agrees that any final and non-appealable judgment against a party in connection with any action, suit or other proceeding may be enforced in any court of competent jurisdiction, either within or outside of the United States.
  1. You understand that the Company Parties and all other related parties, including, but not limited to, each of the Company Parties and the related parties’ management, employees, and agents, will not be held responsible, financially or otherwise, for any items that are left, lost, stolen, destroyed, confiscated, damaged or misplaced anywhere at the Event site regardless of fault or reason, so act accordingly. Any and all losses incurred by You under this Article 17 shall be subject to Article 16, above. The Company recommends that You do not bring any valuables to the Event.
  1. You unconditionally agree that the terms and conditions contained herein and/or referenced herein represent the entire agreement between You and the Company with respect to its subject matter, and shall supersede and replace all prior contemporaneous understandings, communications, and agreements, written or oral, regarding such subject matter which contradict these terms, including, but not limited to, the text contained on the back of the actual Ticket and/or any contrary understanding or agreements between You and the Company. You further confirm that there are no other agreements between You and any of the other Company Parties. You unconditionally agree to be bound by any and all of the terms and conditions contained herein and/or referenced herein and any additions, changes and/or modifications thereof, which may be made from time to time without prior notice to You. Any updates to Company’s new terms and conditions will be posted to this website address. You have an obligation to check the website for updates to these terms and conditions.
  1. If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible so as to affect the intent of the parties hereto, and the other provisions contained herein will remain in full force and effect. Company’s failure to insist upon or enforce any provision of this Agreement shall not be construed as a waiver of any provision or right.
  1. If any term or provision is found, by a tribunal of competent jurisdiction, to be invalid, illegal or otherwise unenforceable, the unenforceable provision(s) shall not affect the otherwise valid terms, provisions, spirit of, or the whole of this Agreement. The applicable terms or provisions shall be deemed modified to the extent necessary to render such provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent, the intent and agreements of the parties set forth in this Agreement.
  1. Section Headings. Any Section headings used in this Agreement are for convenience only and shall not be given any legal import.

 

PLEASE READ THIS AGREEMENT CAREFULLY AND IN ITS ENTIRETY. THIS AGREEMENT, WHICH IS A LEGALLY BINDING DOCUMENT, INCLUDES, AMONG ITS OTHER TERMS, RESTRICTIONS, LIMITATIONS AND CONDITIONS (INCLUDING LIMITATIONS ON LIABILITY), ASSUMPTIONS OF RISK, AND A NO REFUND POLICY (AND OTHER RELATED RESTRICTIONS). BY ENTERING INTO THIS AGREEMENT, YOU ACKNOWLEDGE THAT YOU ARE FREELY AND VOLUNTARILY GIVING UP IMPORTANT LEGAL RIGHTS. IF YOU DO NOT AGREE WITH ANY OF THE TERMS, WAIVERS, LIMITATIONS, RESTRICTIONS AND/OR OTHER CONDITIONS AS SET FORTH IN THIS AGREEMENT, OR IF YOU DO NOT AGREE WITH, OR AGREE TO ASSUME THE RISK(S) TO YOU AS SET FORTH IN THIS AGREEMENT OR DO NOT AGREE WITH OR DO NOT INTEND TO BE BOUND BY THESE TERMS, DO NOT PURCHASE A TICKET, DO NOT REGISTER FOR OR UTILIZE COMPANY’S SERVICES AND/OR DO NOT ENTER THE VENUE OR ATTEND THE EVENT.
